This End User License Agreement or “EULA” is a legal agreement between the font purchaser or tester, herein called “Client”, and “Isaco Type” foundry, for the “Font Software” or simply “font” that accompany this EULA, being also applicable to any material that may be associated with the Font Software now or in the future. “Font Software” is here defined as the coded software that generates typeface designs, symbols and ornaments when used with the appropriate hardware and software, created by Isaco Type. By downloading the Font Software, the Client confirms that has read all the statutes of this EULA and accepts without reservation all the obligations and conditions, general and specific, set forth in this EULA. If Client does not agree to be bound by this EULA, Client may not download, install, access, or use the Font Software.
1. Grant of License
Upon payment in full, Isaco Type grants the Client the limited, non-exclusive, non-assignable, non-transferable right to use the Font Software, and the designs embodied therein together with any accompanying documentation, each in accordance with the terms and conditions of this EULA.
2. Warranty
Isaco Type warrants the Font Software performance in conformity with the specifications presented on the Isaco Type website (excepting Trial font files). Damaged or defective Font Software may be replaced when accompanied by the valid sales receipt and the user license number within thirty (30) days of purchase of the Font Software.
3. Intellectual Property
The font files downloaded to the Client’s computer contain Font Software that is intellectual property of Isaco Type, that owns the rights for distribution and reserves all rights to intellectual property.
4. Font Software Copy
The Client may take a digitized copy of the Font Software used in a particular project to a commercial printer or service agency for its reproduction (excepting Trial font files). Upon completion of the project the service agency must delete the copy of the Font Software. Backup copies of the Font Software are allowed for exclusive archival purposes only, provided that the Client retains exclusive care and control over such copies. The Client is responsible for securing this data and making sure that unlicensed copies do not leave his/her possession.
5. Editing and Modifying Font Software
Under no circumstances the Client may edit or convert the Font Software to different formats from those provided by Isaco Type. The use of font creation/edition programs to modify, alter, adapt, change spacing and kerning, edit features and other internal instructions, redraw glyphs, translate, rename, reverse engineer, decompile or disassemble the Font Software itself is strictly prohibited. Likewise, it is prohibited to generate any kind of font software using the provided font files without the express permission and knowledge from Isaco Type. Client can only modify the outlines of a font after it has been converted to outlines, as graphical objects into drawing programs.
6. License Transfer
The Font Software and licenses are non-transferable. Under no circumstances the Client may sell, distribute, loan, lease, rent, donate, share or give away the Font Software and/or license to another person or entity, as well as making copies, except as permitted herein.
7. Limitation of Liability
Isaco Type disclaims and rejects any liability for any losses, specially on circumstances where the Font Software use may lead to death, personal injury, property damage, severe physical or environmental damage, business interruption, loss of business information or profit lost. Under no circumstances shall Isaco Type’s liability exceed the replacement cost of the Font Software.
8. EULA Modifications and Termination
This EULA may be amended or modified in future versions, by an authorized officer of Isaco Type, at any time and without prior notification other than updating the publication date herein. This EULA may be terminated without notice if the Client breachs and/or fails to comply with any term contained herein.
9. Applicable Law and Jurisdiction
This EULA is subject to and will be interpreted in accordance with the laws of the Federative Republic of Brazil, State of Rio Grande do Sul. Any dispute which may arise relating to the existence, making, validity, interpretation, and/or the execution of this EULA will, in the absence of amicable settlement, take place before the state and federal Brazilian courts.
10. Specific Conditions of License
By purchasing the license, the Client only acquires the right to use the Font Software under the conditions determined in each case below, according to the specific conditions of the chosen license. If the Font Software exceeds the permitted use from the specific conditions, the Client is obliged to upgrade to the appropriate license type. Please contact us to purchase license types not listed below, such as Digital Ads, OEM, NFTs, Broadcasting and others.
10.1. Desktop
a) The Desktop license permits the use of the Font Software to create images on any surface or screen, in physical or digital medium, including but not limited to graphical designs, magazines, books, logos, branding, stationery, documents, packaging, artworks, graphic products, T-shirts, mugs, movie credits, in computers which runs any operating system such as Windows, Mac OS, Linux or similar. Formats provided: otf and/or ttf.
b) Valid for individual users or organizations purchasing for authorized employees only (1 computer = 1 end user). In case additional installations are required, the Client is obliged to purchase a license that permits its use for the additional computers. This license is perpetual, valid indefinitely for the maximum number of end users specified in its license invoice.
c) Embedding is permitted only in a secured print/read-only mode. The Client must ensure that recipients of such documents cannot extract the Font Software or use the embedded Font Software for editing purposes, or for the creation of new documents. A non-protected PDF file is only permitted when sending files to a service agency only for outputting purposes.
10.2. Webfont
a) The Webfont license permits the use of the Font Software, in web-specific format called “webfont”, to style texts via @font-face CSS rule. The Font Software is self-hosted — Client must host the webfonts on your own web server. Formats provided: ttf, eot, svg, woff and woff2.
b) Valid for website(s) of a single, specific domain name (1 webfont license = 1 website domain) with a estimated traffic of pageviews per month. In case additional domains are required, the Client is obliged to purchase a license that permits its use for the additional domain. In case the monthly traffic on the website(s) exceeds the limit, the Client is obliged to upgrade to a license that grants the rights to use the Font Software for a higher number of pageviews per month. This license is perpetual, valid indefinitely for the maximum number of website domains and pageviews per month specified in its license invoice. Client is not entitled to a refund, offset or other adjustment in the event of a reduction in the number of pageviews per month, irrespective of the reasons.
c) Embedding is permitted only by self-hosting the Font Software on a secure web server owned by the Client via @font-face CSS rule. Other embedding or font replacement techniques such as Cufon or sIFR are not permitted. The font files cannot be distributed or downloaded from the server.
10.3. Application
a) The Application license permits the use of the Font Software to style texts in applications, such as mobile and web-based applications, computer programs and games. The applications must be built to run natively on operating systems, including but not limited to iOS, Android, Windows, Mac OS, Linux or similar, or to run in the browser (web apps). The Client can also install font files on its development environment, for the sole purpose of developing the application layout. Formats provided: ttf, eot, svg, woff and woff2.
b) Valid for individual apps (1 app license = 1 app title) with a estimated number of active users per month, across any platforms such as iOS, Android, Windows Mobile, Windows, Mac OS or similar. In case additional apps are required, the Client is obliged to purchase a license that permits its use for the additional apps. In case the active users per month exceeds the limit, the Client is obliged to upgrade to a license that grants the rights to use the Font Software for a higher number of active users per month. This license is perpetual, valid indefinitely for the maximum number of apps and active users per month specified in its license invoice. Client is not entitled to a refund, offset or other adjustment in the event of a reduction in the number of active users per month, irrespective of the reasons.
c) Embedding is permitted but must be securely encapsulated inside each application, using obscuration techniques, compression or encryption, masking the original font files. Embedding in applications that allow the generation of user-designed output that uses the Font Software are not allowed. Embedding into software products in which the Font Software will be used directly by the purchasers of such products is strictly prohibited. This use requires a different license. 10.4. ePub
a) The ePub license permits the use of the Font Software exclusively for developing layouts in electronic publications, including eBooks, eMagazines and interactive PDFs, for reading on devices such as tablets, Kindle and iPad. The Client can also install font files on its development environment, for the sole purpose of developing the ePub layout. Formats provided: ttf, eot, svg, woff and woff2.
b) Valid for individual electronic publications (1 epub license = 1 electronic publication title) across any platforms such as Kindle, iPad and other eReaders. In case additional titles are required, the Client is obliged to purchase a license that permits its use for the additional titles. This license is perpetual, valid indefinitely for the maximum number of titles specified in its license invoice. Updated versions of epubs that are free to previous customers and regional or format variations do not require a new license.
c) Embedding is permitted but must be securely encapsulated inside each ePub, using obscuration techniques, compression or encryption, masking the original font files. Embedding in ePubs that allow the generation of user-designed output that uses the Font Software are not allowed.
10.5. Server
a) The Server license permits the use of the Font Software remotely, accessing a service that generates static texts and/or images, however without permitting downloading of the font files. The server may allow the download of the final output artwork, such as customized layouts, rasterized images or graphics, PDF documents, etc, but not the Font Software. The Client can also install font files on its development environment, for the sole purpose of projecting the server use. Formats provided: otf and/or ttf; eot, svg, woff and woff2.
b) Valid for usage in production servers only (1 server license = 1 server CPU), each production server based in one geographical location. In case additional installations are required, the Client is obliged to purchase a license that permits its use for the additional CPU’s. This license is valid for one year and is renewed each year that the Font Software remains installed for the maximum number of CPU’s specified in its license invoice.
c) Embedding permitted for previewing, printing and editing but must be securely encapsulated and used only inside each production server.
10.6. Trial
a) The Trial license permits the use of the Font Software to trial purposes, to help the Client decide if the Font Software is appropriate for your needs, before purchasing a complete retail Font Software. The Trial license is valid only after Client’s free registration on the Isaco Type site. Isaco Type makes no warranties, express or implied on Trial font files. Any published or accessible work, online or offline is strictly prohibited. The digitized copy of Trial font files to third parties is not allowed. Formats provided: otf and/or ttf. b) Valid for 1 individual tester (1 computer = 1 tester). In case additional installations are required, the Client is obliged to purchase a complete retail license that permits its use for the additional computers. This license is valid indefinitely for only 1 individual tester.
c) Embedding permitted only in a secured print/read-only mode. The Client must ensure that recipients of such documents cannot extract the Font Software or use the embedded Font Software for editing purposes, or for the creation of new documents. Embedding trial font files in non-protected PDF file is strictly prohibited.
